Awarri Studio Terms of Use
Effective Date: 01/09/2026
INTRODUCTION AND ACCEPTANCE OF TERMS
These Terms of Use ("Terms") govern access to and use of Awarri Studio, Awarri's platform for AI-powered voice generation, voice cloning, speech translation, and transcription across Nigerian and other supported languages, together with its associated application programming interface ("API") for developers (collectively, the "Service"). These Terms are issued by Awarri Technologies Limited ("Awarri," "we," "us," or "our") and supplement Awarri's general Terms of Use and Acceptable Use Policy, which continue to apply to your use of Awarri products generally. Where a conflict arises between these Terms and Awarri's general Terms of Use with respect to Awarri Studio specifically, these Terms govern.
By creating an account, uploading a voice sample, generating audio, accessing the API, or otherwise using the Service, you accept and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.DEFINITIONS
"Source Voice" means any human voice recording, sample, or likeness submitted, uploaded, or otherwise made available to the Service for the purpose of analysis, transcription, translation, or voice cloning.
"Voice Model" means an AI-generated representation capable of synthesizing speech in the acoustic characteristics of a Source Voice, created through the cloning features of the Service.
"Generated Audio" means any synthetic speech, translated audio, or other audio output produced by the Service, whether from a standard system voice or a Voice Model.
"Transcription Output" means any text produced by the Service from audio input.
"Translation Output" means any translated text or audio produced by the Service.
"Developer" means any individual or entity that accesses the Service via the API to build, test, or operate an application or integration.
"End User"means any individual who interacts with a Developer's application built on the API, but who does not hold a direct account with Awarri.
"Voice Owner" means the individual whose natural voice is captured in a Source Voice, regardless of who submits it to the Service.
ELIGIBILITY AND ACCOUNTS
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account or use the Service. Developer accounts additionally require acceptance of the API-specific terms in Section 8. You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under your account.
DESCRIPTION OF THE SERVICE
Awarri Studio enables users to: generate synthetic speech from text in supported Nigerian and other languages; translate spoken or written content between supported languages; transcribe audio into text; and, where enabled, create a Voice Model from a Source Voice for use in generating Generated Audio in that voice. The Service is also made available to Developers through an API for integration into third-party applications, subject to Section 8. Awarri may add, modify, or discontinue supported languages, features, or voices at any time, and does not guarantee the availability of any specific language, dialect, or feature.
LICENSE GRANT AND SCOPE OF USE
Subject to your compliance with these Terms, Awarri grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for lawful purposes consistent with these Terms. No ownership rights in the Service, its underlying models, or its voice technology are transferred to you. All rights not expressly granted are reserved by Awarri.
VOICE CLONING: CONSENT, OWNERSHIP, AND RESPONSIBLE USE
6.1. Consent Requirement.You may only submit a Source Voice for cloning if: (a) you are the Voice Owner; or (b) you have obtained the Voice Owner's prior, informed, and explicit consent to submit their voice to the Service for the specific purpose of creating and using a Voice Model, and can produce evidence of that consent upon Awarri's request. Submitting a Source Voice constitutes your representation and warranty that this condition is satisfied.
6.2. Prohibited Cloning and Use of Generated Audio. You must not use the Service, a Voice Model, or Generated Audio to:
- clone or synthesize the voice of any public figure, celebrity, government official, or other identifiable third party without that individual's explicit written authorization;
- impersonate any person for the purpose of deception, fraud, harassment, or reputational harm, including in phone calls, voicemail, robocalls, or voice messages;
- generate Voice Model output that misrepresents statements never made by the Voice Owner in a manner likely to mislead listeners, including political disinformation, fabricated confessions, or fabricated endorsements;
- create sexually explicit, degrading, or otherwise non-consensual content using any real person's cloned voice;
- circumvent voice-authentication or biometric-security systems belonging to Awarri, the Voice Owner, or any third party.
6.3. Ownership and Scope of Voice Models. As between you and Awarri, and subject to consent under Section 6.1, a Voice Model created from your validly-submitted Source Voice is licensed for your use within the scope of your account or agreement. Awarri retains ownership of the underlying voice-cloning technology, architecture, and any general-purpose improvements derived from aggregated, de-identified processing. Awarri may require re-verification of consent at any time, including periodically for high-usage or commercial Voice Models.
6.4. Right to Revocation and Deletion. A Voice Owner who did not directly create the account submitting their Source Voice may request that Awarri suspend, disable, or permanently delete the associated Voice Model and any Generated Audio derived from it, by contacting Awarri using the details in Section 25. Awarri will act on verified requests within a reasonable time and may suspend the relevant Voice Model pending verification.
6.5. Disclosure of Synthetic Audio. Where Generated Audio is distributed publicly, used in broadcast, advertising, automated calling, or any context where a listener could reasonably mistake it for an authentic, unscripted human recording, you must take reasonable steps to disclose that the audio is AI-generated or synthesized, except where Awarri has expressly authorized an exemption in writing.
TRANSCRIPTION AND TRANSLATION
Transcription Output and Translation Output are generated using automated systems and may contain errors, omissions, or mistranslations, particularly for dialectal variation, background noise, code-switching, or domain-specific terminology. You are responsible for reviewing and, where necessary, obtaining human verification of Transcription Output and Translation Output before relying on it for legal, medical, financial, safety, journalistic, or other consequential purposes.
API AND DEVELOPER TERMS
8.1. Access and Credentials. Developers accessing the Service via the API must register for API credentials and are responsible for safeguarding those credentials and for all activity conducted through them. Awarri may impose rate limits, usage quotas, or throttling at its discretion to protect the security, stability, and fair availability of the Service.
8.2. Developer Responsibility for End Users.Developers are responsible for ensuring that their applications, and their End Users, comply with these Terms, including the voice-consent requirements in Section 6 and the Acceptable Use Policy in Section 9. Developers must obtain from their own End Users any consents necessary for the End Users' use of voice cloning, transcription, or translation features embedded in the Developer's application, and must make such consent mechanisms available where the application allows End Users to submit a Source Voice.
8.3. Restrictions on API Use.Developers must not use the API to build a product or service that principally replicates or competes with Awarri Studio, to resell raw, unmodified access to the API as a standalone offering without Awarri's written authorization, or to circumvent usage limits through the creation of multiple accounts or credentials.
8.4. Attribution. Awarri may require Developers to include reasonable attribution identifying Awarri as the underlying voice-technology provider, in a form specified in the API documentation.
ACCEPTABLE USE POLICY
In addition to Section 6.2, you must not use the Service to:
- violate any applicable law, including data protection, telecommunications, consumer-protection, and intellectual property law;
- engage in fraud, phishing, or impersonation of any individual or organization, whether or not voice cloning is involved;
- generate content that harasses, threatens, or defames any individual;
- generate child sexual abuse material or any content sexualizing minors;
- facilitate voice-based scams, including impersonation of financial institutions, government agencies, or relatives in distress ('vishing');
- attempt to extract, reconstruct, or reverse engineer Awarri's underlying voice-synthesis or cloning models through systematic querying or adversarial techniques;
- bypass rate limits, authentication mechanisms, or content-safety filters implemented by Awarri.
Awarri may investigate suspected violations and may suspend or terminate access, remove content, disable a Voice Model, and report unlawful activity to competent authorities where required or appropriate.
FEES AND PAYMENT
Where the Service is offered on a paid or usage-based basis, applicable fees, billing cycles, and payment terms will be set out at the point of purchase, in your account dashboard, or in a separate commercial agreement. Fees are non-refundable except as required by law or expressly stated otherwise. Awarri may suspend access for accounts with overdue payment following reasonable notice.
INTELLECTUAL PROPERTY
11.1. Ownership of the Service. Awarri retains all right, title, and interest in and to the Service, including its software, voice-synthesis and cloning architecture, underlying models, APIs, and documentation.
11.2. Ownership of Generated Audio. Subject to your compliance with these Terms and, where applicable, valid Voice Owner consent, you own the Generated Audio, Transcription Output, and Translation Output you create using the Service. Awarri does not claim ownership of your Generated Audio, but you acknowledge that Awarri cannot guarantee its exclusivity, as similar output may be generated from similar inputs by other users.
11.3. No Competitive Training.You must not use the Service, any Voice Model, or Generated Audio to train, fine-tune, distill, or benchmark any competing voice-synthesis, transcription, or translation system, or to otherwise replicate Awarri's underlying model architecture or capability.
DATA PROTECTION AND BIOMETRIC DATA
Source Voices and Voice Models may constitute biometric or other sensitive personal data under the Nigeria Data Protection Act 2023 (NDPA), the General Data Protection Regulation (GDPR), and other applicable law. Awarri processes such data in accordance with its Privacy Policy and applicable data protection law, and implements access controls and encryption designed to protect voice data both at rest and in transit. You are responsible for ensuring a lawful basis for submitting any Source Voice, including obtaining the consent described in Section 6.1. You, or the relevant Voice Owner, may request access to, correction of, or deletion of Source Voice data and associated Voice Models, subject to verification, using the contact details in Section 25.
SECURITY
Awarri implements administrative, technical, and physical safeguards appropriate to the sensitivity of voice data. You must implement reasonable safeguards for your own credentials and systems, and must promptly notify Awarri of any suspected unauthorized access to your account, API credentials, or any Voice Model.
THIRD-PARTY SERVICES
The Service may interoperate with third-party software, plugins, or platforms not owned or controlled by Awarri. Awarri is not responsible for the practices of any such third party, and your use of any third-party integration is at your own risk and subject to that party's terms.
FEEDBACK
If you provide Awarri with suggestions or feedback regarding the Service, you grant Awarri a perpetual, irrevocable, worldwide, royalty-free license to use such feedback without obligation or compensation to you.
DISCLAIMERS
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. Awarri does not warrant the accuracy of Transcription Output or Translation Output, the fidelity or realism of any Voice Model, or that the Service will be uninterrupted, secure, or error-free. You remain responsible for verifying output before relying on it and for the lawfulness of your use of any Generated Audio.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Awarri and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with: (a) your breach of these Terms, including the consent requirements in Section 6; (b) any claim by a Voice Owner or third party arising from your submission of a Source Voice or use of Generated Audio; (c) your violation of applicable law; or (d) your Developer application or its use by End Users.
LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Awarri shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or in connection with the Service. Awarri's aggregate liability shall not exceed the total fees paid by you to Awarri for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including for fraud or willful misconduct.
TERM AND TERMINATION
These Terms remain in effect for as long as you access or use the Service. Awarri may suspend or terminate your access if you violate these Terms, exceed the agreed scope of use, or present a significant legal, security, or reputational risk, including any violation of the voice-consent requirements in Section 6. Upon termination, you must cease use of the Service, and Awarri may disable any Voice Model associated with your account. Sections 6.3, 6.4, 9, 11, 12, 16, 17, 18, this Section 19, and Sections 21 through 24 survive termination.
EXPORT CONTROL AND SANCTIONS COMPLIANCE
The Service may be subject to export control and sanctions laws of Nigeria, the United Kingdom, and other applicable jurisdictions. You represent that you are not subject to, and will not use the Service in violation of, applicable trade sanctions or embargoes.
GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. The parties shall first attempt in good faith to resolve any dispute through direct negotiation. If unresolved within thirty (30) days of written notice, either party may pursue resolution through the competent courts of Lagos State, Nigeria, or, where separately agreed, through binding arbitration under a governing commercial agreement. Either party may seek urgent injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
